Terms & Conditions
Please read these Terms and Conditions ("Terms") carefully before downloading or using FlashcardsApp (the "App"), operated by FlashcardsApp ("we," "our," or "us"). By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.
1. Acceptance of Terms
By accessing or using FlashcardsApp, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy, which is incorporated herein by reference. These Terms form a legally binding agreement between you and FlashcardsApp.
2. Eligibility
You must be at least 13 years of age (or 16 in the EEA) to use the App. If you are under 18, you represent that your parent or guardian has reviewed and agreed to these Terms on your behalf. By using the App, you represent and warrant that you meet all eligibility requirements.
3. License to Use the App
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to download and use the App on any device that you own or control, solely for your personal, non-commercial educational purposes.
You may not:
- Copy, modify, distribute, sell, or lease any part of the App
- Reverse-engineer, decompile, or attempt to extract the source code
- Remove or obscure any proprietary notices or labels
- Use the App for any unlawful purpose or in violation of these Terms
5. Subscriptions & Billing
5.1 Subscription Plans
We offer the following auto-renewing subscription plans:
- Monthly: $4.99 per month
- Yearly: $29.99 per year (includes a 7-day free trial for new subscribers)
We also offer a one-time Lifetime purchase at $79.99 (see Section 6).
5.2 Free Trial
The Yearly plan includes a 7-day free trial for new subscribers. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically convert to a paid Yearly subscription and your payment method will be charged.
5.3 Auto-Renewal
Subscriptions automatically renew at the end of each billing period unless you cancel at least 24 hours before the renewal date. Renewal charges are processed within 24 hours before the end of the current period.
5.4 Managing Subscriptions
You can manage or cancel your subscription at any time through your Apple ID or Google Play account settings. Cancelling your subscription stops future renewals but does not provide a refund for any unused portion of the current period.
5.5 Price Changes
We may change subscription prices with reasonable advance notice. Continued use of the App after a price change constitutes your agreement to pay the new price upon renewal.
6. Exam Pack Purchases
The App offers optional one-time exam deck purchases (consumable in-app purchases). Current offerings include:
- USMLE Step 1 — $9.99 (2,000+ cards)
- GRE Vocabulary — $5.99 (1,500+ cards)
- Bar Exam — $12.99 (3,000+ cards)
- IELTS / TOEFL — $5.99 (1,200+ cards)
- SAT / ACT — $5.99 (1,500+ cards)
Exam packs are tied to your device. In the event of data loss or device change, you may restore purchased packs using the "Restore Purchases" function in Settings.
7. Refunds
All purchases are processed by Apple (iOS) or Google (Android). Refund requests are subject to the refund policies of the respective platform:
- Apple: Request a refund at reportaproblem.apple.com
- Google: Request a refund through the Google Play subscriptions page
We do not process refunds directly. If you experience a technical issue that prevents you from accessing content you paid for, please contact us and we will work with you to resolve it.
8. User-Generated Content
You may create flashcard decks and cards within the App ("User Content"). You retain full ownership of all User Content you create. By creating User Content, you grant us a non-exclusive, worldwide, royalty-free licence to store and process that content solely to operate the App on your behalf.
You are solely responsible for any User Content you create. You agree not to create content that:
- Infringes any third-party copyright, trademark, or other intellectual property rights
- Is unlawful, defamatory, obscene, or harmful
- Contains malware, viruses, or malicious code
9. Prohibited Conduct
When using the App, you agree not to:
- Attempt to gain unauthorised access to any part of the App or its infrastructure
- Use automated tools (bots, scrapers) to interact with the App
- Circumvent or disable any security features or digital rights management
- Use the App in any way that could disable, overburden, or impair its infrastructure
- Share your account credentials with third parties (once accounts are introduced in Phase 8)
- Violate any applicable local, national, or international law or regulation
10. Intellectual Property
The App, including its design, code, graphics, pre-loaded exam content (NCE cards), logos, and all other materials, is owned by FlashcardsApp and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms transfers any intellectual property rights to you.
The pre-loaded NCE (National Counselor Examination) study content is provided for educational purposes. We do not claim any affiliation with or endorsement by the National Board for Certified Counselors (NBCC) or any other examining body.
11. Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the App will be uninterrupted, error-free, or free of viruses. The pre-loaded exam content is provided for general study purposes only and does not constitute professional advice. Passing any examination is not guaranteed.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLASHCARDSAPP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $10 USD.
13. Indemnification
You agree to indemnify, defend, and hold harmless FlashcardsApp and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the App, your User Content, or your violation of these Terms.
14. Termination
We reserve the right to suspend or terminate your access to the App at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.
You may stop using the App at any time by deleting it from your device. Upon termination, the licence granted to you under these Terms will immediately cease. Provisions that by their nature should survive termination will survive, including Sections 10, 11, 12, 13, and 15.
15. Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the App shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA), except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property matters.
Class action waiver: You agree to resolve disputes individually and waive any right to participate in a class action lawsuit or class-wide arbitration.
16. Apple App Store — Additional Terms
If you download the App from the Apple App Store, the following additional terms apply:
- These Terms are between you and FlashcardsApp only — not Apple. Apple has no obligation to provide maintenance or support for the App.
- In the event the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation.
- Apple is not responsible for addressing any claims relating to the App, including product liability, consumer protection, or intellectual property infringement.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, Apple has the right to enforce these Terms against you.
- You must comply with applicable third-party terms of service when using the App (e.g., you must not violate your wireless data service agreement).
17. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page will reflect any changes. If we make material changes, we will notify you via a prominent in-app notice. Your continued use of the App after the effective date of the revised Terms constitutes your acceptance of the changes.
